Acceptance & Project Agreements
These terms apply when you use the FragmentX Co., Ltd. website or engage our services. By doing so, you agree to follow them and applicable law.
Each project should have a signed proposal or agreement covering its specific scope and terms. If that document conflicts with this page, the signed document governs the project.
Services & Scope
FragmentX provides web, mobile, AI and machine learning, FWD AI consulting, cloud, digital-transformation, and custom-software services.
- The signed scope identifies deliverables, timing, milestones, review, acceptance, support, and handover.
- Anything outside that scope requires discussion and may change the price or schedule.
- Estimates depend on the information and assumptions available when they are prepared.
Customer Responsibilities
Information & decisions
- Provide accurate requirements, content, data, billing details, and constraints.
- Give timely access, decisions, reviews, and feedback needed for the work.
Rights & access
- Have permission to share all supplied materials, data, and systems.
- Protect credentials and identify confidential or specially handled information.
Acceptable Use
Use our website, forms, communications, and deliverables only for lawful, authorized purposes.
- Do not send spam, malware, fraudulent material, or abusive communications.
- Do not probe, bypass, damage, or disrupt website or project security.
- Do not infringe privacy, intellectual-property, or other legal rights.
- Do not supply data, credentials, or materials you are not authorized to share.
Intellectual Property
Project deliverables
After full payment, the customer owns the source code and deliverables created specifically for the project, subject to the signed agreement.
Existing & third-party materials
FragmentX keeps its brand, website, and identified pre-existing materials. Open-source software, fonts, stock assets, APIs, and other third-party items remain under their own licenses and terms.
Customer content and data remain the customer's. You allow FragmentX to use them only as needed to evaluate, deliver, support, and hand over the agreed work.
Pricing & Payment
- Quotes are in Thai baht and the signed proposal states the exact price and schedule.
- We typically require a 50% deposit before work and 50% at completion; larger projects may use milestones.
- Approved scope changes may change the price, payment schedule, or delivery date.
- Domains, hosting, premium assets, third-party services, maintenance, and add-ons are separate unless included in the quote.
Warranty, Liability & Third Parties
Warranty periods, acceptance criteria, support, remedies, and any allocation or limitation of liability are governed by the signed agreement and applicable law. This general page does not set a warranty duration or fixed liability cap.
Projects may depend on hosting, domains, software, APIs, payment services, or other providers. Their availability, licensing, security, and service terms are their own; project-specific responsibilities should be stated in the signed agreement.
Changes, Pause & Cancellation
Requests to change, pause, or cancel work are handled under the signed agreement. The parties should record the request and review its effect on scope, timing, price, completed work, work in progress, and committed third-party costs.
Closeout may include final payment, removal or transfer of access, and handover of eligible materials. Payment, confidentiality, intellectual-property, data-handling, and other duties continue only as stated in the signed agreement or required by applicable law.
Changes to These Terms & Contact
We may update this page as our website or services change and will revise the date above. A project agreement remains in effect according to its own amendment terms.
